2. A director who knowlingly commits a brach of the governing document should be barred from ever being an officer or committee member on any HOA ever again.  
  I actually think anybody who does this should be legally barred from ever being an officer or a committee member on any Homeowners Association ever again.

It should be similar to what the Securities Exchange Commission does to those who commit securities fraud.

1. Insider trading or using corporate information for personal gain  
  It should be possible to remove them from and hold them accountable not only if the violate the governig documents but also if they do something that is not in the interests of the owners and sometimes causing losses in money, property values and otherwise the general good and well being of the owners as a group or individuals.

There is one instance where an owner offered a property to the Association but the president quietly approchced the owner and bougt the property for himself for a nominal sum from the owner causing a loss to the association.

This is what normally, I believe, called insider trading or using corporate information for personal gain causing a losses to all the other shareholders !
